3. Client Responsibilities

You agree to:

Collaborate with SPP by providing necessary access, information, and resources to facilitate our work.
Ensure any materials or data you provide comply with applicable laws and do not infringe on third-party rights.
Adhere to the agreed timelines for feedback, approvals, and payments.

4. Fees and Payment

Fees for Services will be outlined in a separate agreement or invoice.
Payments are due as specified in the agreement or invoice. Late payments may incur interest charges or penalties.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement. Confidential information excludes:

Information already in the public domain.
Information independently developed without reference to the other party’s confidential materials.
Disclosure required by law, with prior notice to the other party if legally permissible.

6. Intellectual Property

Systems Process People retains ownership of intellectual property, templates, and methodologies developed during the course of providing the Services. Clients receive a limited, non-transferable license to use deliverables solely for their internal business purposes unless otherwise agreed.

7. Limitation of Liability

To the maximum extent permitted by law, SPP is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Services. Our total liability for any claims is limited to the amount paid by the client for the specific Service in question.

8. Amendments

We may update these Terms from time to time. Changes will be effective upon posting to our website. Continued use of the Services constitutes acceptance of the revised Terms.
